Terms of Service
Muphoenix operates exclusively as a B2B manufacturer and supplier of automotive electronic components. By engaging with our services, you confirm that you represent a business entity authorized to enter commercial agreements.
These Terms of Service govern all transactions, quotations, and manufacturing services provided by Muphoenix ("Company", "we", "us") to business clients ("Client", "you").
1. Scope of Services
1.1 Manufacturing Services
We provide:
- Factory-direct manufacturing of automotive sensors and electronic components
- OEM/ODM customization services including ID design, 3D modeling, tooling, and mold creation
- Mass production and quality control
- Logistics coordination and export documentation
1.2 Minimum Order Requirements
All services are subject to minimum order quantities (MOQ) as specified in quotations. Custom tooling and OEM/ODM projects require separate technical agreements.
2. Orders and Quotations
2.1 Quotation Validity
All quotations are valid for 30 days from issuance unless otherwise stated. Prices are subject to change based on raw material costs, exchange rates, and production capacity.
2.2 Order Confirmation
Orders become binding upon written confirmation from Muphoenix. Specifications, quantities, delivery terms, and payment schedules will be detailed in a Purchase Order (PO) or Manufacturing Agreement.
3. Payment Terms
3.1 Standard Terms
Payment terms are negotiated per contract. Standard terms include:
- Deposit: 30-50% advance payment upon order confirmation
- Balance: Due before shipment or as per agreed credit terms
- Custom Tooling: 100% payment before mold production begins
3.2 Late Payment
Late payments may incur interest charges and suspend production or shipment until accounts are settled.
4. Intellectual Property
4.1 Custom Designs
For OEM/ODM projects, intellectual property rights are assigned as specified in the Manufacturing Agreement. Unless otherwise agreed, tooling and molds remain the property of the party who paid for their development.
4.2 Confidentiality
Both parties agree to maintain confidentiality of technical specifications, designs, pricing, and business information. Non-disclosure agreements (NDAs) may be executed for sensitive projects.
5. Quality Control and Warranties
5.1 Quality Standards
All products are manufactured according to agreed specifications and undergo quality inspection before shipment. Inspection reports are available upon request.
5.2 Warranty
Products are warranted against manufacturing defects for a period specified in the contract (typically 12-24 months from shipment date). Warranty claims must be submitted with photographic evidence and defect analysis.
5.3 Limitations
Warranty does not cover damage from improper installation, misuse, unauthorized modifications, or normal wear and tear. Liability is limited to replacement or credit of defective goods.
6. Shipping and Delivery
6.1 Incoterms
Delivery terms follow Incoterms 2020 standards (FOB, CIF, EXW, etc.) as specified in the contract. Risk transfers to the buyer according to the agreed Incoterm.
6.2 Lead Times
Production lead times vary by product complexity and order volume (typically 30-60 days). Delays due to force majeure, material shortages, or client-requested changes will extend delivery schedules.
6.3 Inspection Upon Delivery
Clients must inspect goods within 7 days of receipt. Claims for shipping damage or quantity discrepancies must be reported immediately with supporting documentation.
7. Limitation of Liability
Muphoenix's liability is limited to the value of the defective goods. We are not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or third-party claims.
Maximum liability shall not exceed the total contract value of the specific order in question.
8. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, government restrictions, labor disputes, or supply chain disruptions. Affected party must notify the other promptly and make reasonable efforts to resume performance.
9. Dispute Resolution
9.1 Governing Law
These Terms are governed by the laws of the People's Republic of China.
9.2 Arbitration
Disputes shall be resolved through negotiation. If unresolved within 30 days, disputes will be submitted to arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
10. Amendments
Muphoenix reserves the right to update these Terms at any time. Clients will be notified of material changes. Continued engagement after notification constitutes acceptance of revised Terms.
